NYSE Euronext's market capitalisation is less than half that of Deutsche Boerse. The U.S.-based exchange operator runs stock markets in four European countries and the London-based derivatives exchange Liffe. Its German peer runs the Frankfurt exchange and derivative exchange Eurex.

"We have a natural built-in defence because the U.S. government and the European governments have a say in whether we get sold or not," Niederauer said, noting NYSE's takeover of Euronext faced tough political scrutiny before it closed in 2007.
